ASTERBIZ LICENSING PROGRAM TERMS AND CONDITION (Version 2.0) KEY TERMS

1. Onboarding & Training Fee: The Licensee shall pay a one-time Onboarding & Training Fee of RM5,000.00 within seven (7) days of Clickwrap Acceptance, covering the Licensor's onboarding, initial training, Platform account setup and starter Marketing Materials. The fee is non-refundable save where required by law. The Licence is conditional on receipt of this fee and completion of onboarding and verification.

2. Commission: 40% of Gross Sale from Enrolled Students you procure, calculated monthly and paid between the 7th and 14th of the following month. Commission accrues on each instalment actually received in cleared funds by Aster Edu, after the applicable refund or cooling-off period.

3. Term: 12 months, renewing automatically for further 12-month periods unless either party gives 30 days' written notice of non-renewal.

4. Non-exclusive: you receive no protected territory. Aster Edu may market directly and appoint other licensees anywhere, without compensation to you.

5. You must never collect money from students or parents. All tuition fees are paid directly to Aster Edu through its official payment channel.

6. Commission may be reversed (clawed back) for refunds, cancellations, chargebacks and invalid enrolments, and may be set off against amounts you owe.

7. All marketing content you create requires Aster Edu's prior written approval, and you must comply with the six Policies hyperlinked below, which form part of this Agreement.

8. No income, enrolment numbers or academic results are guaranteed to you or to any student.

9. You must protect the personal data of students, parents and leads under the Personal Data Protection Act 2010, and follow the Child Safeguarding Policy at all times.

10. Aster Edu may suspend or terminate your licence for serious breach. Confidentiality, data protection and the post-termination restrictions in Clause 10 survive termination.

These Terms and Conditions and all related policies have been specifically drafted and tailored by Tetuan Hawari & Co. exclusively for Aster Edu Sdn. Bhd. They are proprietary to Aster Edu Sdn. Bhd. and shall not be copied, reproduced, adapted, or used, in whole or in part, without the prior written consent of Aster Edu Sdn. Bhd., except as permitted by law.
